Terms of Service

Please read carefully. These Terms of Service ("Terms") form a legally binding agreement between your institution (or you, as an individual user) and P Soft Tech. Using any of our Services constitutes acceptance of these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

These Terms of Service govern access to and use of all software products and services provided by P Soft Tech, including but not limited to: School ERP, Parent Mobile App, Student Mobile App, Teacher Mobile App, CBT Online/Offline Examination Software, OMR Software, Typing Test Software, Question Extractor, and Custom Software Development (collectively, "Services").

By accessing our Services, signing a Service Agreement, or submitting a demo request, you confirm that:

  • You are authorised to bind your institution to these Terms (if acting on behalf of an institution), or
  • You are at least 18 years of age (if agreeing individually), and
  • You have read, understood, and agree to be bound by these Terms.

2. Our Services

P Soft Tech provides educational software products delivered as:

  • Cloud-hosted (SaaS): Software accessed via web browser or mobile app, hosted on P Soft Tech's managed infrastructure
  • On-premise deployment: Software installed on the institution's own servers under an enterprise licence agreement
  • Custom development: Bespoke software built to the institution's specifications under a separate Statement of Work

The specific products, features, and delivery method applicable to your institution are defined in your Service Agreement or Order Form. These Terms apply to all delivery methods unless a specific Service Agreement states otherwise.

3. Accounts & Access

3.1 Administrator accounts

The institution designates one or more administrative users responsible for managing the Service. Administrators are responsible for creating, managing, and revoking access for all users under their account.

3.2 Account security

You are responsible for maintaining the confidentiality of all login credentials. You must notify P Soft Tech immediately at pst280519@gmail.com if you suspect any unauthorised access to your account.

P Soft Tech is not liable for any loss or damage arising from your failure to maintain the security of your credentials.

3.3 Authorised users

Access to the Services is restricted to authorised users of the licensed institution. You must not share credentials with persons outside your institution or allow the Services to be used for the benefit of any third party not covered by your licence.

4. Licence & Restrictions

4.1 Licence grant

Subject to your compliance with these Terms and payment of applicable fees, P Soft Tech grants your institution a limited, non-exclusive, non-transferable, revocable licence to access and use the Services during your subscription period, solely for your institution's internal educational and administrative purposes.

4.2 Restrictions

You must not, and must not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works based on the Services
  • Reverse engineer, decompile, disassemble, or attempt to extract source code
  • Sublicence, sell, resell, transfer, or assign the Services to any third party
  • Use the Services to provide a service bureau, outsourcing, or time-sharing arrangement to third parties
  • Remove, alter, or obscure any proprietary notices, labels, or branding within the Services
  • Use the Services to store or transmit malicious code, viruses, or unlawful content
  • Attempt to gain unauthorised access to any part of the Services or related systems

5. Institutional Responsibilities

As the licensed institution, you are responsible for:

  • Data accuracy: Ensuring that all data entered into the Services (student records, results, fee information) is accurate and current
  • Legal compliance: Obtaining all necessary consents from students, parents, and staff for data collection and processing under applicable Indian law, including the Digital Personal Data Protection Act, 2023
  • User conduct: Ensuring all authorised users comply with these Terms and applicable law
  • Hardware and connectivity: Providing adequate hardware, internet access, and network infrastructure required to use the Services
  • Data export: Exporting and retaining copies of your data before termination of the Service
  • Examination integrity: Ensuring the integrity and fairness of any examinations conducted using CBT, OMR, or Typing Test software

6. Data & Privacy

The collection and use of personal data in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

For cloud-hosted products, P Soft Tech acts as a data processor on behalf of the institution (data controller). We process institutional data only as directed by the institution and as necessary to provide the Services.

Upon termination of the Service, P Soft Tech will retain your data for 90 days to allow for export. After this period, data will be permanently deleted from our systems unless retention is required by law.

7. Intellectual Property

7.1 P Soft Tech property

All intellectual property rights in the Services — including software code, user interfaces, logos, documentation, and product designs — are and remain the exclusive property of P Soft Tech. These Terms do not grant you any ownership interest in the Services.

7.2 Institution data

All data entered into the Services by or on behalf of your institution (student records, examination data, fee records) remains the property of your institution. P Soft Tech has no ownership claim over institutional data and uses it only to provide the Services.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Services, P Soft Tech may use this feedback without restriction or compensation. You grant us a perpetual, irrevocable, royalty-free licence to use such feedback to improve our products.

8. Payment & Renewal

Fees, payment terms, and renewal conditions are defined in your Service Agreement or Order Form. Unless otherwise stated:

  • All fees are quoted and payable in Indian Rupees (INR)
  • Fees are due in advance of the service period
  • Subscriptions auto-renew unless written notice of cancellation is given at least 30 days before the renewal date
  • P Soft Tech reserves the right to adjust pricing at renewal with 60 days' prior written notice
  • Late payments may attract interest at 1.5% per month or the maximum permitted by applicable law

All fees paid are non-refundable unless a specific refund provision is stated in your Service Agreement or required by applicable law.

9. Availability & Support

P Soft Tech targets 99.9% uptime for cloud-hosted Services, excluding scheduled maintenance windows. We will provide advance notice (minimum 48 hours) for planned maintenance that affects availability.

Support is provided via email, WhatsApp (during working hours, Monday–Saturday, 9am–6pm IST), and through your designated account manager. Support terms, including response time commitments, are defined in your Service Agreement.

P Soft Tech provides software "as is" with reasonable care and skill. We do not warrant that the Services will be error-free, uninterrupted, or free from security vulnerabilities. We will use commercially reasonable efforts to address reported issues in a timely manner.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

  • P Soft Tech shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profit, data, goodwill, or business interruption, arising from use of or inability to use the Services
  • P Soft Tech's total aggregate liability to your institution for any claim arising from these Terms or use of the Services shall not exceed the fees paid by your institution in the 12 months immediately preceding the event giving rise to the claim
  • These limitations apply regardless of the form of action and whether P Soft Tech has been advised of the possibility of such damages

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless P Soft Tech and its employees, directors, and agents from any claim, demand, damages, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your institution's data or content infringing a third party's intellectual property or privacy rights
  • Unauthorised use of the Services by any user of your institution's account
  • Any misuse of examination software (CBT, OMR, Typing Test) that results in examination irregularities or legal proceedings

12. Term & Termination

12.1 Term

The agreement commences on the date your institution activates the Service and continues for the subscription period specified in your Order Form, renewing automatically unless terminated.

12.2 Termination by institution

You may terminate the Service by providing 30 days' written notice before your renewal date. No refund is provided for unused periods of a current subscription unless stated in your Service Agreement.

12.3 Termination by P Soft Tech

P Soft Tech may suspend or terminate your access immediately if:

  • You materially breach these Terms and fail to cure the breach within 14 days of written notice
  • You fail to pay fees when due and do not remedy non-payment within 7 days of notice
  • We are required to do so by law or regulatory order

12.4 Effect of termination

On termination, your licence to use the Services ceases immediately. Your data will be retained for 90 days post-termination to allow export, after which it will be permanently deleted.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Before initiating any legal proceeding, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date the dispute is raised in writing.

14. Changes to Terms

P Soft Tech may modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify licensed institutions by email and/or through the product dashboard at least 30 days before the changes take effect

Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you may terminate the Service before the effective date.
